Common questions
What is a confirmation statement?
A legal document all UK limited companies must file every 12 months, confirming key company details as at the end of the review period — registered office, shareholders, SIC codes, share capital and PSCs.
Is it the same as the old annual return?
Yes. The confirmation statement replaced the annual return in 2016. Same purpose, updated format, filed on form CS01.
Do dormant companies need to file one?
Yes. Every limited company must file annually, even if dormant or if nothing has changed. There are no exceptions.
What happens if I file late?
There are no automatic financial penalties, but failing to file on time is a criminal offence and directors can be fined personally. Companies House may also strike the company off the register.
Who is responsible for filing?
The company directors, legally. Companies House requires all directors to file on time and in full.
What is a Person of Significant Control?
Someone who owns more than 25% of shares or voting rights, can appoint or remove the majority of the board, or otherwise exercises significant influence or control. All limited companies must declare their PSCs.
